1. Agreement to Terms

By accessing or using Pluxo ("Service"), operated by Clevora AI Private Limited (CIN: U62099KA2025PTC201284), a company incorporated under the Companies Act, 2013, with its registered office at 235, Binnamangala, 2nd Floor, 13 Cross Road, Indira Nagar, Bangalore-560038, Karnataka, India ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms, together with our Privacy Policy, Acceptable Use Policy, and Refund Policy, form the complete agreement between you and the Company. We may update these Terms from time to time. Material changes will be notified via email at least 15 days in advance. Continued use after changes constitutes acceptance of the revised Terms.

2. Description of Service

Pluxo is an AI-powered platform that helps medical practices launch and manage their online presence. The Service includes: • Website generation with AI-optimised content and SEO pages (up to 263+ pages per practice) • Themed website design tailored to your medical specialty (13 specialty themes) • Subdomain hosting at {slug}.pluxo.ai • AI-powered WhatsApp receptionist for patient enquiries • Online appointment booking system • Payment collection via Cashfree (UPI, cards, net banking) • Schema.org structured data markup for search visibility Pluxo does not provide medical advice, guarantee specific patient acquisition outcomes, or offer legal or regulatory compliance advice.

3. Eligibility

The Service is available to licensed healthcare practitioners or authorised representatives of healthcare practices operating in India, individuals who are at least 18 years of age, and entities validly existing under applicable Indian law. By registering, you represent that you meet these eligibility requirements.

4. Account Registration

To use Pluxo, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, and promptly notifying Pluxo of any unauthorised access at legal@pluxo.ai.

5. Subscription Plans and Payment

We offer three subscription tiers: Starter at INR 7,999 per month, Growth Engine at INR 14,999 per month, and Multi-Location at custom pricing. Current plan details, features, and pricing are displayed on the Pluxo pricing page at pluxo.ai. All fees are quoted and payable in Indian Rupees (INR), payable in advance on a monthly or annual basis, and inclusive of applicable GST unless stated otherwise. Payments are processed through Cashfree Payments via UPI, credit/debit cards, or net banking. For patient appointments booked through your Pluxo website, we operate an 85/15 revenue split: 85% of the appointment fee is remitted to you and 15% is retained by Pluxo as a platform fee. Payouts are processed on a regular schedule as described in your dashboard.

6. Price Guarantee

Your subscription price is locked for 12 months from signup. Any price changes require 90 days' written notice and only apply to new billing cycles after the lock-in period. If we raise prices, you will always have the option to cancel before the new price takes effect.

7. Performance Guarantee

If your practice does not receive at least 10 new patient enquiries through your Pluxo website within 90 days of your site going live, your next 3 months are free. To claim this guarantee, contact support from your admin dashboard within 100 days of your site going live. Patient enquiries include appointment bookings, WhatsApp messages, phone calls, and contact form submissions tracked through the Pluxo platform.

8. Data Ownership

You own 100% of your content and patient data. We are a platform provider, not a data owner. You retain full ownership of all content you provide to Pluxo, including text, images, logos, practice information, and patient contact data. By using the Service, you grant Pluxo a limited, non-exclusive licence to host, display, and distribute your content solely for the purpose of operating the platform on your behalf. You may export all your data at any time from your admin dashboard in standard JSON format, with no restrictions or fees.

9. AI-Generated Content

Pluxo uses artificial intelligence (including Google Gemini) to generate SEO pages, website copy, and WhatsApp agent responses. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and approving all content published on your practice website. Pluxo does not guarantee the medical accuracy of AI-generated content and requires that you verify all clinical information before publication. AI-generated content is licensed, not sold. Pluxo grants you a non-exclusive, non-transferable, revocable licence to use the generated content on your Pluxo-hosted website for the duration of your active subscription. Upon termination, this licence ends and you may not republish the content on other platforms. You may request content corrections through your dashboard or by contacting support. We will use commercially reasonable efforts to address corrections within 5 business days.

10. Data Sourcing

To generate your website, Pluxo sources data from publicly available sources including Google Places API, Google Maps, your existing website, and search engine results. By using the Service, you authorise Pluxo to access, extract, and use this publicly available information about your practice. The Service integrates with third-party providers including Cashfree (payments), Gupshup (WhatsApp messaging), Google Gemini (AI content generation), and Vercel (hosting). Your use of features powered by these providers is subject to their respective terms. Pluxo is not responsible for the availability or conduct of third-party services.

11. Intellectual Property

Pluxo retains all right, title, and interest in the Pluxo platform, software, algorithms, themes, templates, and design systems, including all improvements and modifications. You retain all right, title, and interest in your name, logo, trademarks, brand identity, and original content you upload. Pluxo may collect and use de-identified, aggregated data derived from use of the Service for purposes of improving the platform. Such aggregate data will not identify any individual customer or patient.

12. Acceptable Use

You agree to use the Service only for lawful purposes related to operating a website for a legitimate healthcare practice. You must ensure that all medical content is accurate and compliant with the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002. You shall not publish false or misleading medical claims, promote unproven treatments, or use the Service in any manner that could harm patients or the public. 13. Patient Data

Pluxo acts as a data processor with respect to patient data collected through your website (bookings, payments, WhatsApp messages). You are the data controller and are responsible for obtaining all necessary consents from patients in accordance with the Digital Personal Data Protection Act, 2023. You shall obtain informed consent from patients before collecting their data, comply with all applicable data protection laws, and not use the booking or messaging features to collect sensitive personal data beyond what is necessary for appointment scheduling. Pluxo shall process patient data only as necessary to provide the Service, implement reasonable security measures, not sell or share patient data with unrelated third parties, and notify you without undue delay upon becoming aware of a personal data breach.

14. Cancellation

Cancel with one click from your dashboard. No phone calls. No retention team. No penalties. Upon cancellation, your site is paused (not deleted) and your data remains safe and exportable for 90 days. You may download all your data (content, patient contacts, appointments, analytics) at any time from your admin dashboard. You can reactivate your subscription at any time during the 90-day retention period and your site will be restored instantly. Pluxo reserves the right to suspend or terminate accounts that violate these Terms, with notice where practicable. Full refund terms are set out in our Refund Policy at pluxo.ai/refund-policy.

15. Content Takedown

If any person believes that content on a Pluxo-generated site is inaccurate, defamatory, or infringes their rights, they may submit a takedown request to legal@pluxo.ai with identification of the content, the basis for the request, and their contact information. Upon receiving a valid request, Pluxo will notify the customer within 2 business days. The customer has 5 business days to respond. If the content is clearly unlawful, Pluxo may remove it immediately. Pluxo will act in accordance with the IT Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

16. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Pluxo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Pluxo does not warrant that the Service will be uninterrupted, error-free, or secure, that AI-generated content will be accurate or complete, or that use of the Service will result in any particular level of patient acquisition, revenue, or business outcome. You acknowledge that AI-generated content is produced by automated systems and may contain errors. You are solely responsible for reviewing and verifying all content on your website.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Pluxo and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, patients, data, or goodwill, arising out of or in connection with your use of the Service, whether based on contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. Pluxo's total aggregate liability shall not exceed the total fees paid by you to Pluxo in the 12 months preceding the event giving rise to the claim.

18. Indemnification

You shall indemnify, defend, and hold harmless Pluxo from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any applicable law, any claim by a patient or third party arising from your use of the Service, inaccurate or unlawful content you provided or approved, or your failure to comply with healthcare advertising regulations. Pluxo shall indemnify you against any third-party claim that the Service infringes any Indian patent or copyright, provided you promptly notify Pluxo and give Pluxo sole control of the defence.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute shall be resolved as follows: first, by good-faith negotiation for 30 days; second, if negotiation fails, by mediation under the Mediation Act, 2023; third, if mediation fails, by arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Bengaluru, Karnataka, conducted in English. Subject to the above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.

20. General

These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Pluxo regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions remain in full effect. Failure to enforce any right shall not constitute a waiver. You may not assign this agreement without Pluxo's written consent. Pluxo may assign in connection with a merger, acquisition, or asset sale. Neither party shall be liable for delays or failures resulting from causes beyond reasonable control, including acts of God, natural disasters, pandemic, government actions, or infrastructure failures. All notices to you will be sent via email to the address on your account. All notices to Pluxo should be sent to legal@pluxo.ai.
